Why we have this policy
We name real companies and we publish what their SEC filings show. We want to be right, and we want to be corrected fast when we are not. Anyone can use this policy: a company we cover, an officer of that company, a reader, or a member of the public.
How we write
Every finding states a fact, points to the filing and page, and stops. We do not write about anyone's motive, character or intent. Opinions are labeled "In our view" and sit next to facts the reader can check. We compare numbers against GAAP; we do not describe ourselves as licensed in accounting. Our scoring method is published, applied the same way to every offering, and every score is dated.
How to report a problem
Email [email protected] or write to 600 Reusens Rd, M137, Lynchburg, VA 24503. Tell us the page or issue, what is wrong, and, if you can, the filing that shows it. You do not need to be a subscriber.
Our commitments
- Acknowledgment within 2 business days. We confirm we received every complaint or correction request within 2 business days. The reply says who is looking at it.
- Checking. The editor checks the complaint against the source filings on EDGAR and our own records, and saves a dated copy of what was checked.
- Correction within 2 business days of confirmation. Once we confirm an error, we correct the online post within 2 business days. We also run the correction in the next issue within the same 2 business days, with a dated "Correction" line at the top, if the next issue falls later than 2 business days, we send a short correction email.
- No silent edits. A corrected page keeps a visible dated note saying what changed. Typos in wording that do not change meaning may be fixed without a note.
- If we do not agree. If we check and find no error, we tell the person why, with the filing we relied on, and we invite a reply under the next section.
Right of reply for named companies
- We offer every company we name a reply of up to 200 words.
- For a "went quiet" or "Quiet Raise" listing, we first confirm on EDGAR that there is no Form C-AR and no Form C-TR for the fiscal year and that the 120 day deadline has passed. We then email the company and wait 5 business days before publishing. We save a dated PDF of the EDGAR search.
- The published line reads: "As of [date], we found no Form C-AR or Form C-TR for [Company] on SEC EDGAR for fiscal year [X], due by [date]. We contacted the company on [date] and received no response." If the company answers, we publish its reply in the same place.
- A reply is published alongside the original, in the same issue or page, not placed on a separate page. If a reply is over 200 words, we ask the sender to shorten it. We do not change its meaning.
- We may decline a reply that is abusive, off topic, or contains a claim about a person that we cannot allow in print. We tell the sender why and invite a revised reply.
- If a company later files the missing report, we update the listing with the new filing and its date within 2 business days of finding it.
Complaint log
We keep a log of every complaint, correction request and reply: the date received, the date acknowledged, what we checked, what we decided, and the date any correction ran. The log is kept for at least 5 years. It is not published, but summary counts may be.
Legal demands
If you believe something we published is unlawful, tell us in writing at the contact above and say what you want done. We handle legal demands under the same time limits, and may pass them to our counsel. This policy does not give up any legal right of ours or yours.
